The following terms and conditions ("Terms of Sale") govern the sale of products and goods ("Products") by Artext Wholesale ("Company", "we", "us", or "our") to our customers ("Customer", "you", or "your"). By placing an order with us, whether through our website, email, phone, or any other means, you agree to be bound by these Terms of Sale.

2. Order Confirmation and Payment
Upon placing an order, you will receive an order confirmation via the contact information you have provided. Your order is only accepted and becomes a binding contract once full payment has been received and confirmed by us. We reserve the right to accept or reject orders at our discretion.

Please ensure that your order details are correct before payment as once an order is confirmed and paid, it cannot be canceled, modified, or changed.

 

3. Intellectual Property
All information and content displayed, including but not limited to product descriptions and specifications, are presented for informational purposes only. We do not claim ownership of any intellectual property rights of the brands or manufacturers of the Products sold. All trademarks, copyrights, and intellectual properties belong to their respective owners.
 

4. Product Restrictions
Customers are responsible for ensuring that they are legally allowed to purchase and resell the Products. We do not assume responsibility for any item that is restricted from being sold on Amazon, restricted to send to FBA, or restricted on any other marketplaces. It is the Customer's responsibility to comply with all applicable laws and regulations of the jurisdiction in which they intend to sell the Products.
 

5. Amazon and Marketplace Issues
We shall not be held liable for any issues arising from the sale of the Products on Amazon or any other marketplace. This includes, but is not limited to, account suspensions, brand restrictions, or any other actions taken by the marketplace against the Customer.

6. Price Fluctuations
The Customer acknowledges that prices in various marketplaces, including Amazon, are subject to change. We shall not be responsible for any loss or damage arising from such price fluctuations.

7. Minimum Advertised Price (MAP)
If a MAP policy is applicable to any Product, we will notify the Customer prior to payment. The Customer agrees to adhere to any MAP restrictions as notified.

8. Sales Finalization
ALL SALES ARE FINAL. We do not offer returns, exchanges, or refunds on any Products sold, except in the case of defective merchandise as covered under Section 10 of these Terms of Sale.

9. Shipping and Delivery
Shipping costs are the responsibility of the Customer unless otherwise stated. The Customer agrees to provide accurate shipping information and coordinates the receipt of Products. Risk of loss passes to the Customer once the Products are handed over to the carrier.

10. Defective Merchandise
In the event that any Product is found to be defective, the Customer must report the defect to contact@artextwholesale.com within 7 days of receipt. The report must include a detailed description of the defect and proof of purchase. We reserve the right to verify the defect and, at our discretion, offer a replacement, credit, or refund for the defective Product.

11. Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or related to your purchase or use of any Products from us, even if we have been advised of the possibility of such damages.

12. Governing Law
These Terms of Sale shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

We reserve the right to amend these Terms of Sale at any time. Any amendments will be effective immediately upon posting on our website or notification to you.
